1. General Terms and Agreement
These Terms & Conditions ("Terms") govern the sale of packaging and shipping supplies by 4D Box Co., LLC, doing business as Brazos Packaging Co. ("Brazos Packaging," "Company," "we," "us," or "our").
These Terms apply to sales made through our website, quotations, accepted purchase orders, email, telephone, or other authorized sales channels when incorporated into the transaction.
By affirmatively accepting a quotation or sales agreement that references these Terms, or placing an order after being given notice of and agreeing to these Terms, the customer ("Buyer") agrees to be bound by them.

A separate written agreement executed by both parties controls over conflicting provisions of these Terms.
2. Products and Specifications
Brazos Packaging supplies corrugated boxes, tape, bubble wrap, protective foam, packing peanuts, and related packaging and shipping materials.
We make reasonable efforts to provide accurate product descriptions, dimensions, specifications, and availability information.
Product images may be illustrative. Specifications and availability may vary depending on the manufacturer or supplier.
Buyers are responsible for confirming that products meet their intended requirements.
3. Pricing and Quotations
Pricing may vary based on product specifications, quantities, availability, supplier costs, and approved customer agreements.
The Company may offer individually negotiated wholesale rates and volume-based discounts.
A request for pricing does not constitute an accepted order.
Quotations apply only to the products, quantities, specifications, and conditions identified in the quotation. Changes may require revised pricing.
Prices remain valid for the period stated in the quotation. If no period is stated, prices must be reconfirmed before order acceptance.
Obvious errors may be corrected before order acceptance. Corrections affecting accepted orders are governed by the parties' agreement and applicable law.
4. Order Acceptance
Orders may be submitted through approved Company channels.
An order request does not bind the Company until the Company accepts it in accordance with applicable law.
Before acceptance, Brazos Packaging may decline an order for legitimate business reasons, including product unavailability, unresolved specifications, supplier limitations, or inability to agree on payment arrangements.
Accepted orders are subject to the applicable quotation, sales agreement, and properly incorporated Terms.
5. Payment Terms and Customer Credit
Payment is due according to the terms established in the applicable accepted quotation, invoice, or separately agreed credit arrangement.
The Company may grant approved customers purchasing privileges on credit, subject to individually established payment terms and credit limits.
Credit approval is not guaranteed.
Brazos Packaging may review credit arrangements and, subject to existing agreements and applicable law, require prepayment or suspend future credit purchases when an account is past due.
Customers should report disputed invoice amounts promptly and in good faith. Undisputed amounts remain payable according to the agreed terms.
Interest, late fees, and collection charges apply only when authorized by law and agreed upon as part of the applicable transaction or credit agreement.
6. Special Orders and Deposits
Products specially sourced, manufactured, modified, or purchased for a customer may require advance deposits.
Any required deposit amount, due date, and refund or forfeiture conditions will be specified in the applicable quotation or accepted written agreement.
Special orders may involve supplier minimums, dedicated inventory, manufacturing commitments, or nonrecoverable procurement expenses.
When clearly disclosed and agreed before order acceptance, special-order products are generally noncancelable and nonreturnable once the Company has committed to purchasing, manufacturing, or sourcing them.
Any applicable cancellation charges, refund restrictions, or deposit deductions remain subject to the parties' agreement and applicable law.
These provisions do not eliminate legally protected remedies for defective, incorrect, or nonconforming goods.
7. Changes and Cancellations
Customers should contact the Company promptly regarding requested order changes or cancellations.
Changes and cancellations require Company approval to the extent permitted by the agreement and applicable law.
Requests will be evaluated according to the order's status, supplier commitments, and any restrictions disclosed and agreed before acceptance.
8. Availability and Lead Times
Product availability and estimated delivery dates may vary due to supplier availability, manufacturing requirements, transportation, and other circumstances.
The Company will make reasonable efforts to communicate material changes affecting fulfillment.
Estimated delivery dates are not guaranteed unless expressly agreed as binding commitments.
9. Shipping and Delivery
Shipping methods, freight charges, local delivery arrangements, and pickup options will be established in the applicable quotation or order agreement.
Buyers must provide accurate delivery information and reasonable access for receiving goods.
Risk of loss or damage transfers according to the agreed delivery terms and applicable law.
10. Returns of Standard Stocked Products
Returns of nondefective stocked products require prior written approval from Brazos Packaging.
Return eligibility depends on product type, condition, resale eligibility, and applicable transaction terms.
Unauthorized returns may be refused.
The Buyer is responsible for all freight and shipping costs associated with approved voluntary returns, unless the Company expressly agrees otherwise.
Approved returns must comply with the instructions provided by the Company.
No automatic restocking fee is imposed under these Terms.
This section does not restrict legally available remedies for defective or nonconforming goods.
11. Damaged, Defective, or Incorrect Products
Buyers should inspect products promptly upon receipt and notify the Company within a reasonable time after discovering damage, defects, missing items, or discrepancies.
Claims should include relevant order information and supporting documentation when reasonably available.
The Company will investigate reported concerns and provide an appropriate resolution under the applicable agreement and law.
Responsibility for returning defective or nonconforming products will be determined by the circumstances and applicable law, rather than automatically assigned to the Buyer.
12. Product Suitability
Buyers are responsible for reviewing product specifications and determining whether materials are suitable for their intended applications.
This includes product dimensions, weight capacities, protective requirements, and compatibility.
General product recommendations do not replace agreed written specifications or express warranties.
13. Warranties
Express written warranties, if any, will be identified in applicable product documentation or accepted sales agreements.
Manufacturer warranties may apply according to their stated terms.
DISCLAIMER OF IMPLIED WARRANTIES
EXCEPT FOR EXPRESS WARRANTIES MADE IN WRITING BY BRAZOS PACKAGING AND EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, BRAZOS PACKAGING DISCLAIMS THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.
NOTHING IN THIS SECTION EXCLUDES RIGHTS OR REMEDIES THAT CANNOT LAWFULLY BE DISCLAIMED.
14. Limitation of Liability
TO THE EXTENT PERMITTED BY APPLICABLE LAW, BRAZOS PACKAGING SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM A TRANSACTION GOVERNED BY THESE TERMS, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION.
These limitations remain subject to applicable law, including restrictions concerning unconscionability, failure of essential purpose, and nonwaivable rights.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
15. Sales Tax
Applicable sales and use taxes will be collected unless an exemption applies and satisfactory supporting documentation has been provided.
Buyers claiming resale, manufacturing, or other exemptions must provide appropriate and accurate certificates.
The Company may verify documentation before applying an exemption.
16. Events Beyond Reasonable Control
Neither party will be responsible for delays in nonpayment obligations to the extent performance is prevented by circumstances beyond its reasonable control, subject to applicable law.
Examples include natural disasters, severe weather, government actions, supplier disruptions, and transportation interruptions.
Affected parties will make reasonable efforts to communicate delays and resume performance when practicable.
Existing payment obligations for properly delivered and accepted goods remain enforceable.
17. Website and Customer Accounts
Customers must use the Company's website and customer portal lawfully.
Account holders are responsible for safeguarding login credentials and promptly reporting suspected unauthorized access.
Customer-specific wholesale pricing and account information are intended only for the authorized customer.
Attempts to access another customer's information or manipulate pricing are prohibited.
The Company may restrict access to protect its operations and customers, consistent with applicable law.
18. Conflicting Purchase Order Terms
The parties intend each transaction to be governed by the applicable accepted quotation, agreed sales documents, and these Terms where properly incorporated.
Terms contained in a Buyer's purchase order do not automatically supersede the Company's agreed terms.
Additional or conflicting terms are subject to applicable law, including Texas Business & Commerce Code §2.207.
19. Intellectual Property
The Company's name, logos, original website materials, and other protected content belong to the Company or applicable rights holders.
Unauthorized commercial reproduction is prohibited except as permitted by law.
20. Dispute Resolution
The parties will make a good-faith effort to resolve disputes through direct communication.
A party seeking resolution should provide written notice describing the dispute and requested remedy.
Except where immediate action is reasonably necessary, the parties should allow up to 30 calendar days after receipt of notice to attempt an informal resolution.
Nothing in this section requires a party to waive applicable legal rights or limitation periods.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
To the extent permitted by applicable law, disputes arising from these Terms or an accepted transaction shall be brought exclusively in a state court of competent jurisdiction located in Brazos County, Texas, or in a federal court having jurisdiction over Brazos County when federal subject-matter jurisdiction exists.
The parties consent to personal jurisdiction in the applicable courts for disputes properly subject to this provision.
22. Severability and Waiver
If a provision is determined to be unenforceable, the remaining provisions continue in effect to the extent permitted by law.
Failure to enforce a provision on one occasion does not automatically waive future enforcement.
23. Changes to Terms
The Company may revise these Terms as its operations or legal requirements change.
Updated Terms will be posted with a revised effective date.
Changes apply prospectively and do not alter previously accepted transactions without agreement or another lawful basis.
